Terms of Service

The agreement governing your use of PixelLab OMS.

These Terms form a binding agreement between you and PixelLab Media regarding your access to and use of PixelLab OMS, our multi-vendor order management and shipping platform. By creating an account, connecting a store, or otherwise using the platform, you accept these Terms.

If you are accepting on behalf of a company, you confirm you are authorised to bind that company, and "you" means that company.

01Eligibility and accounts

You must be at least 18 years old and legally capable of entering into a binding contract. Accounts are issued to operators and vendors by PixelLab Media; access is not transferable.

  • You are responsible for all activity under your account and for keeping credentials confidential.
  • You must notify us promptly of any unauthorised use of your account.
  • We may suspend or disable an account that is compromised, used unlawfully, or used to infringe the rights of another party.
  • Role-based permissions determine what each user can see. Granting a user access grants them exactly the permissions of their role and no more.

02The service

PixelLab OMS ingests orders from connected Shopify stores, allocates line items to the appropriate vendor and warehouse, generates shipping labels and manifests, schedules courier pickups, maintains tracking, and pushes fulfilment status back to Shopify.

PixelLab Media operates the platform as an agent for client brands. The merchant of record for your storefront remains your business; PixelLab Media is not a party to the sale of goods to your customers unless expressly stated in a separate written agreement.

03Acceptable use

You agree not to use the platform to:

  • upload counterfeit, stolen or unlawfully obtained goods, or list a product you have no right to sell;
  • ship prohibited, restricted or misdeclared goods, or falsify a HSN code, weight, dimension or declared value to evade duties or carrier rules;
  • transmit malware, or attempt to gain unauthorised access to the platform, another tenant's data, or our infrastructure;
  • scrape, resell, reverse engineer, or attempt to derive the source of the platform;
  • use the platform to harass, defraud, or defraud end customers, or to send unsolicited communications.

04Vendor responsibilities

  • Maintain accurate catalogue data — SKU, price, HSN code, GST rate, weight and dimensions. Incorrect parcel data causes misrouting, incorrect COD collection and avoidable RTO.
  • Keep inventory levels accurate so orders can be routed to a warehouse that actually holds the stock.
  • Respond to the customer within the promised dispatch window; a missed or cancelled pickup is recorded against your delivery performance.
  • Complete KYC and provide valid GST and banking details so settlements can be processed.
  • Comply with the packaging, labelling and handover instructions of the courier handling your parcel.

05Courier and marketplace terms

Booking, labelling, pickup and tracking are performed through Shiprocket under the Shiprocket account you link. Your use of Shiprocket is additionally governed by Shiprocket's own terms, and acceptance of a courier is subject to their acceptance policy, available serviceability and declared-value limits.

Store installation and data access to Shopify are governed by Shopify's terms and your Shopify admin's authority to grant app access. We verify inbound webhooks against the sending store's own secret and ignore any request that fails verification.

Where a third-party provider is unavailable, changes its API, or declines a shipment, we will make a reasonable effort to route around it but are not liable for its acts or omissions.

06Fees and payment

Fees, if any, are set out in a separate written order form or service agreement. Unless that agreement says otherwise, fees are exclusive of GST and other applicable taxes, and are payable within the stated terms. Courier charges, packaging, RTO shipping and platform subscription fees are separate and are billed by the party named in your agreement.

07Intellectual property

  • PixelLab Media retains all rights in the platform itself, including its software, design, documentation and trademarks.
  • You retain all rights in your brand name, trademarks, product content and customer data.
  • You grant us the limited licence required to host, process and display your data in order to operate the service — for example, generating a label requires storing your warehouse address.
  • Aggregated and anonymised statistics that cannot identify you or your customers may be used to improve the service.

08Availability and support

We aim for high availability but the service is provided on an as-available basis. We do not warrant uninterrupted operation. Maintenance, third-party API changes and force majeure events may cause interruptions. Support is provided during business hours via the support channel named in your agreement.

09Disclaimer and limitation of liability

The service is provided on an as-is and as-available basis. To the fullest extent permitted by law we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the service will be error-free or uninterrupted, or that order, inventory or tracking data will always be complete or current.

To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or goodwill, arising out of the service. Neither party is liable for the other party's loss of data beyond the amount the customer paid for the service in the twelve months preceding the claim.

Nothing in these Terms excludes liability that cannot be excluded by law, including for death or personal injury caused by negligence, or for fraud.

10Indemnity

You agree to indemnify and hold harmless PixelLab Media against claims, losses, liabilities, penalties and reasonable costs arising from your breach of these Terms, your listing or shipping of unlawful or misdeclared goods, your infringement of a third party's rights, or your violation of applicable law.

11Termination

  • Either party may terminate for convenience on the notice period stated in its order form or service agreement, if one exists.
  • Either party may terminate immediately for material breach that remains uncured thirty days after written notice.
  • We may suspend access immediately to protect the platform, other vendors, or end customers from unlawful activity or a security incident.
  • On termination you may export your data for the export window stated in your agreement, after which we delete it in line with the retention periods in our Privacy Policy.

12Changes to these Terms

We may update these Terms to reflect changes in the service or the law. We will post the revised version here with an updated date and, where a change is material, notify you by email or in-product before it takes effect. Continuing to use the service after the effective date means you accept the revised Terms.

13General

  • These Terms are governed by the laws of India, without regard to conflict-of-law rules.
  • If a provision is held unenforceable, it is severed and the remainder stays in force.
  • Neither party may assign these Terms without the other's consent, except to a successor in connection with a merger or sale of substantially all assets.
  • Failure to enforce a provision is not a waiver of it. These Terms, together with any order form and our Privacy Policy, are the entire agreement between the parties on their subject matter.
